Acceptance of Terms

By accessing and using the abydosqvov website or engaging our managed IT services, you accept and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services.

These terms apply to all users of our website and clients of our managed IT services. By continuing to use our services, you acknowledge that you have read, understood, and agree to be bound by these terms and any future modifications.

Description of Services

abydosqvov provides professional managed IT services including but not limited to infrastructure management, cybersecurity solutions, cloud services, IT support, and technology consulting. Specific service details are outlined in individual service agreements and proposals.

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time. We will provide reasonable notice of any material changes that may affect your service agreement.

User Obligations

As a user of our website and services, you agree to provide accurate and complete information, maintain the confidentiality of your account credentials, and use our services only for lawful purposes. You must not attempt to gain unauthorised access to our systems or interfere with the proper functioning of our services.

You are responsible for maintaining appropriate security measures for your systems and data, cooperating with our technical recommendations, and promptly notifying us of any security incidents or concerns.

Service Agreements

Specific managed IT services are governed by separate service agreements that detail the scope of work, service levels, pricing, and other terms. These Terms of Service supplement but do not replace individual service agreements.

In case of any conflict between these general terms and a specific service agreement, the service agreement shall take precedence for matters relating to that specific service.

Payment Terms

Payment terms are specified in individual service agreements. Generally, payments are due within 30 days of invoice date unless otherwise agreed. Late payments may incur interest charges as permitted by Dutch law.

All prices are quoted in Euros (EUR) and exclude VAT unless otherwise stated. We reserve the right to adjust pricing with appropriate notice as outlined in your service agreement.

Intellectual Property

All content on the abydosqvov website, including text, graphics, logos, and software, is the property of abydosqvov B.V. or its licensors and is protected by copyright and other intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

Any custom solutions, configurations, or documentation created specifically for your organisation remain your property, while abydosqvov retains ownership of its general methodologies, tools, and know-how.

Confidentiality

abydosqvov acknowledges that we may have access to confidential information in the course of providing our managed IT services. We are committed to maintaining the confidentiality of your business information and will not disclose it to third parties except as necessary to provide our services or as required by law.

Both parties agree to maintain confidentiality of sensitive information shared during the business relationship and for a period of five years after termination of services.

Data Protection

Our collection and processing of personal data is governed by our Privacy Policy and applicable data protection laws, including the General Data Protection Regulation (GDPR). We implement appropriate technical and organisational measures to protect your data.

Limitation of Liability

To the maximum extent permitted by Dutch law, abydosqvov's total liability for any claims arising from our services shall not exceed the amount paid by you for the specific services giving rise to the claim in the twelve months preceding the incident.

We shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, data, or business opportunities, even if we have been advised of the possibility of such damages.

Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labour disputes, or government actions.

Termination

Either party may terminate a service agreement in accordance with the termination provisions specified in that agreement. Generally, either party may terminate with 30 days written notice, subject to any minimum commitment periods.

We reserve the right to immediately terminate or suspend services if you breach these terms or your service agreement, engage in illegal activities, or fail to pay invoices when due.

Governing Law

These Terms of Service and any disputes arising from them shall be governed by and construed in accordance with the laws of the Netherlands. Any legal proceedings shall be subject to the exclusive jurisdiction of the competent courts in Groningen, Netherlands.

Modifications

abydosqvov reserves the right to modify these Terms of Service at any time. We will notify users of material changes by posting the updated terms on our website with a new effective date. Continued use of our services after such modifications constitutes acceptance of the updated terms.

Severability

If any provision of these Terms of Service is found to be unenforceable or invalid, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced with a valid provision that most closely approximates the intent of the original provision.

Entire Agreement

These Terms of Service, together with our Privacy Policy and any applicable service agreements, constitute the entire agreement between you and abydosqvov regarding the use of our website and services, superseding any prior agreements or understandings.
